Gelonghui May 23 丨 Alibaba-SW (09988wwwbingoplusnet.HK) announced that the company has filed a Form 6-K with the U.S. Securities and Exchange Commission ("SEC") regarding the company's proposed issuance of a total principal amount of US$4.5 billion due in 2031wwwbingoplusnetConvertible senior notes issued under section 144A of the U.S. Securities Act of 1933 and its Amendments (the "Securities Act"), are issued privately to persons reasonably believed to be qualified institutional buyers, and are traded offshore under Regulation S under the Securities Act against certain non-U.S. persons. The Company expects to grant the initial purchaser of the notes the option to purchase additional notes up to a total principal amount of US$500 million, with the option to exercise within 13 days from and including the date of issuance of the notes.
